| Article 1: Name |
| |
The name of this corporation is Saginaw Band Boosters |
| |
| Article 2: Purpose |
| |
The mission of the Saginaw Band Boosters is to achieve and maintain a level
of excellence as a community in order to ensure the success of every band
student. We are committed to supporting the bands and their directors, as well
as promoting interest in the activities of the bands. Ultimately, our mission is
to prepare students to become productive, thinking members of society. The
purpose of the Saginaw Band Boosters, hereinafter referred to as the
Organization, is to cooperate, support and assist the Saginaw High School Band
and the middle school bands associated with it in their development, projects,
and activities, and further, to continue and broaden their musical education and
endeavors. |

Article 3: Membership
|
| |
Section 1. Membership in this organization. Membership in the organization
shall be open to all persons interested in providing support to the Saginaw High
School Band and its associated middle school bands. |
| |
Section 2. Annual membership shall run from the 1st day of each school year
through spring and summer up to the day before school starts each school year. |
| |
Section 3. Voting Membership. Voting Members are adult members who are
parents or guardians of a student enrolled in the band program of Saginaw High
School and its associated middle schools, and have paid the dues for the current
year (member in good standing). The current band director at Saginaw High
School will be a voting member of the Executive Board. |

| Article 4: Meetings |
| |
Section 1. Executive Board Meetings. Executive Board meetings will be
scheduled by the president to be held every month during the regular school
year. Any board member may invite, as needed, Standing Committee Chairperson(s) to attend an Executive Board Meeting with at least 2 days
advance notice to the board. |

Section 2. Regular Meetings. Regular meetings shall be held the first
Tuesday of each calendar month during the regular school year. |
| |
Section 3. Special Meetings. The president of the organization, or in the
absence or incapacitation of the President, the 1st Vice President may call special
meetings of the General Membership upon written request of 20 or more
members of the organization. |
| |
Section 4. Notice of Special Meetings. The Secretary upon direction of the
President, or in the President’s absence or incapacitation the 1st Vice President,
shall provide notice of any special meeting not less than two days prior thereto in
writing personally, telephone, or by email. |
| |
Section 5. Quorum. Board meetings. Half of the board plus 1 member shall constitute a quorum.
Regular meetings. Voting members who are present at the regularly
scheduled meeting. |
| |
Section 6. Location of Regular and Special Meetings. Regular meetings
will be held at Saginaw High School. Special meetings will be held at Saginaw
High School, or otherwise assigned by the President, or in the President’s
absence or incapacitation, the 1st Vice-President. Any change in location will be
announced in advance and posted on the website. |

| Article 5: Advisory Council |
| |
The high school and middle schools’ principals, and associate superintendent of
schools for the EMSISD shall serve as an advisory council. Each may have all
privileges of membership except the right to hold office. |
| |
| Article 6: Executive Board |
| |
Section 1. Term of Office. The term of office shall be one year beginning
June 1 and ending May 31 of the following year. No elected officer shall serve in
the same position more than two (2) consecutive years. |
| |
Section 2. Election of Executive Board. A nominating committee will be
formed at the regular meeting of the Organization in the month of March. The
Nominating Committee shall consist of three (3) members appointed by the
president and two (2) to be appointed from the floor by the general membership
present. The nominating committee shall select a chairperson. The nominating
committee shall nominate one person for each position of the executive board,
presenting the committee’s recommendations at the April meeting. Nominations
from the floor shall be accepted at the April meeting, with the consent of the person(s) nominated. The Executive Board shall be elected annually at this
regular meeting of the Organization. Elections shall be confirmed by a simple
majority of the voting membership. Voting shall be by secret ballot. |

Section 3. Executive Board Members.

|
1. President: The President shall preside at all meetings of the organization and
of the Executive Board. He/She shall have general supervision and direction of
the Club’s committees, and shall see that their duties are properly executed. |
| |
|
2. 1st Vice President - Fundraising: Shall serve as chairperson of all booster
fund raising events. The 1st Vice President shall preside in the absence of the
President. |
| |
|
3. Second Vice President – Concessions: The Second Vice-President shall be
responsible for the activities of the Concessions Committee. |
| |
|
4. Secretary: The Secretary shall maintain a complete and accurate record of
all organization meetings and all Executive Board meetings. He/she shall also
maintain an accurate roster of membership, the most current bylaws and shall
handle such other correspondence as may be requested of him/her by the
President. |
| |
|
5. Treasurer: The Treasurer shall maintain the funds and financial records of
the organization and shall receive and disburse funds as directed by the
organization or by the Executive Board. He shall maintain a simple system of
financial accounts, and shall present a summary report of those accounts at each
organization meeting. |
| |
|
6. Historian/Public Relations: The Historian/PR person shall be in charge of
publicity as authorized by the organization or executive board. Pursues media
opportunities to promote awareness of the band program in the local community. |
| |
|
7. Webmaster: Publicizes activities, achievements and other Band-related
information via the band web site. Provides ongoing, timely communication of
band and band boosters’ information and visuals on the band web site. Manages
technical maintenance of the band web site. |
| |
|
8. Loading Crew Officer: The Loading Crew officer coordinates and manages
the handling and transportation of all instruments, flags, and other equipment
for and during all on and off campus band activities. |
| |
|
9. Transportation - Local: This officer coordinates buses, schedules
chaperones, and works with the Loading Crew Officer regarding equipment
during all off campus band activities. Determine the number of adult chaperones
required for the scheduled performance, event or trip. Provide instruction,
information & training for all chaperones. |
| |
|
10. Trip Officer – Long Distance: This officer coordinates transportation,
researches options for trips outside of the D/FW Metroplex, and overnight trips,
working with the Loading Crew Officer regarding necessary equipment. |
| |
|
| |
Section 4. The Executive Board shall develop and
recommend a proposed budget to be submitted to the
membership for approval at the first business
meeting of the year and recommend annual dues. The
Executive Board shall be responsible for the
activities of all committees. |

| |
Section 5. In the event an office becomes vacant, a replacement shall be
appointed by a majority vote of the Executive Board and serve until the next
regular election. |

| |
Section 6. The current band director at Saginaw High School will be a voting
member of the Executive Board. |
| |
| Article 7: Committees |
| |
Section 1. The president shall appoint special committees as required. |
| |
| Article 8: Line of Authority |
| The final authority in controversial policy or decision making must rest with the
head band director of Saginaw High School and the administration of the Eagle
Mountain-Saginaw Independent School District. |
| |
| Article 9: Ammendments |
| |
Section 1. By-Laws of the Organization may be amended by a majority vote of
members present. Amendments shall be presented in writing to all members
present. Amendments shall be presented in writing to all members present at
least one meeting in advance of the meeting at which the amendment(s) will be
voted on, and shall be presented in writing to all members again prior to the
vote. |

Section 2. Members desiring to amend the Bylaws shall submit proposed
amendments in writing to the President, who present them as provided in
Section 1 above. |

| Rules of Order |
| |
Section 1. All questions of parliamentary procedure not covered by these bylaws
shall be decided according to the latest edition of Robert’s Rules of Order,
Revised. |
